6. Two Grant Theory - Hoffman: subject to clause may constitute a Second Grant when used to give notice of existing lease. Often misused by including "covers and includes" language describing the existing lease in the "subject to" cl. Effectively gives a grant of the royalties to the tract covered under the lease (in total) as opposed to just the portion conveyed. NOTE: these should be carefully worded, maybe limit the "covers and includes" clause by saying "In so far as said lease covers the above described land"(Hoffman provision)

b. Brannan: Rule - one who assigns operating rights but reserves an overriding royalty interest is not protected by implied covenants, and is not entitled to be party to subsequent leases, UNLESS (1) in the K, or (2) Fiduciary relationship
