Foreign Corrupt Practices Act

Online Database

Objective:

Create an electronic database focusing on the Foreign Corrupt Practices Act (FCPA), which is a federal statute that requires companies to keep accurate books and records, and prohibits American businesses from bribing foreign government officials. The planned electronic database has three phases.

Phase I:

Digitize the FCPA and its legislative history, providing an online, searchable database.

Phase II:

Collect all Securities Exchange Commission and Department of Justice enforcement actions taken under the FCPA. Depending on the resources available for this project, the database may include copies of the pleadings and other documents from these actions, along with indexes and analyses of all the enforcement actions.

Phase III:

Create an online library of sample compliance documents for companies struggling with their FCPA responsibilities. The library would contain sample ethics codes provisions, FCPA compliance policies, and FCPA provisions for consulting agreements.
