Annotated, Thomson West, 2012-2013 ed. [If you already have the
2011-2012 edition, it will work fine.]
Text Assignment: Preface, p. v; Introduction to the Code, Overview
of Secured Financing, pp. 1-21, including problems 1.1 and 1.2 to the
extent time permits. Read through the Loan and Security Agreement in
Appendix I, pp. 547-566, noting the structure of the document and
the types of provisions included.
UCC Assignment: Sections 1.102, 1.103, 1.107, 1.201 (especially
1.201(b)(35)), 1.203, 1.301, 1.302, 1.304, 9.101, 9.102. Examine
these Code sections, especially the definitions, and (for now) skim
through the Uniform Commercial Code Comments, any State Bar
Committee Comments, the Commentary, and any Leading Cases.
N.B.: Your final exam will include material covered in this first
class, and I will expect you to be able to recite the first night.
